Terms of Use

1. Introduction

Tripence (the "App", the "Service") is operated by Tripence (the "Company", "we", "us", "our"), reachable at [contact email - to be set on launch]. The App is provided strictly on an "as-is" basis and is a continuously developing, work-in-progress product. This means that individual features may not behave exactly as described, documented, or planned, and that the Company may pause, restrict, modify, or discontinue any feature or the entire Service at any time, with or without notice, and without liability to you.

Certain currency conversion rates, exchange data, and related financial figures displayed in the App may be outdated, inaccurate, or simply wrong. You must not rely on Tripence for authoritative financial, tax, accounting, or legal information.

2. Scope of Application

These Terms of Use govern every contract, relationship, and interaction concluded between the Company and the user ("Customer", "you") through the Tripence mobile application, including any companion websites, APIs, and support channels operated under the Tripence brand. By using the App you accept these Terms in full. Any conflicting or supplementary terms proposed by you do not apply unless we have agreed to them in writing.

3. Who Can Use the App

You may use Tripence only if all of the following are true:

• You are at least 13 years of age.
• You have read, understood, and agreed to these Terms of Use and to our Privacy Policy.
• You are not legally barred from receiving the Service under any applicable law (including sanctions, export-control, or consumer-protection rules).
• You have not been previously suspended, banned, or otherwise removed from Tripence.

If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Description of Service

Tripence is a service designed to help users track travel and day-to-day expenses, visualize spending data, store trip-related information, and receive informal, non-binding budgeting suggestions. Features may include trip and expense entry, image attachments (such as receipts), category and tag management, shared-trip collaboration, charts and dashboards, and similar tools. All such features are provided on an "AS-IS" and "AS AVAILABLE" basis. Any informational, budgeting, or advisory content shown in the App is provided for general guidance only and is not professional financial advice.

Data & Image Retention. We do not guarantee the persistence or availability of any data, settings, trips, expenses, or images uploaded to or stored in the Service. Data may be lost, corrupted, delayed, or deleted at any time, without notice. You are strongly encouraged to keep your own independent records of any information you consider critical. Use of the Service is entirely at your own risk regarding data retention and accuracy.

5. No Warranty

To the maximum extent permitted by applicable law, the Service is provided without any warranty of any kind, whether express, implied, statutory, or otherwise. The Company specifically disclaims all implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. The Company does not warrant that the App is error-free, complete, secure, uninterrupted, timely, free of viruses or other harmful components, or that defects will be corrected. You use the Service entirely at your own risk.

6. Termination and Refusal of Service

The Company reserves the right, at its sole and absolute discretion, to suspend, restrict, refuse, or terminate your access to the App or to any feature within it, at any time, for any reason, with or without notice and without liability. This includes, without limitation, bans issued in response to spammy, unsolicited, abusive, harassing, threatening, hostile, or otherwise inappropriate communications or behavior, whether directed at the Company, other users, or third parties.

Users who abuse the Service may be banned without prior notice. Where a banned account holds an active paid subscription, that subscription will not be refunded.

7. Privacy and Security

To provide the Service, we collect and process personal data as described in our Privacy Policy, which forms an integral part of these Terms and which you must accept. In summary, we use Firebase Crashlytics for stability and crash reporting on a legitimate-interest / strictly-necessary basis, Firebase Analytics and a backend bridge to Google Analytics 4 (GA4) for usage analytics on an opt-in basis under Consent Mode v2, and Google Play for subscription billing - we never receive or store raw card or banking details.

You acknowledge that your data - including email addresses, in-app messages, shared-trip content, uploaded images, and any other App data - may be disclosed by the Company in response to lawful requests by public, judicial, governmental, or regulatory authorities, or where the Company otherwise believes in good faith that such disclosure is necessary to comply with the law, enforce these Terms, or protect the rights, property, or safety of the Company, its users, or the public.

You are solely responsible for safeguarding your account credentials, devices, and any access tokens issued by the App. You must notify us immediately of any unauthorized use of your account. The Company is not liable for any loss arising from your failure to keep your account secure.

8. No Liability

To the maximum extent permitted by applicable law, under no circumstances and under no legal theory (contract, tort, negligence, strict liability, or otherwise) shall the Company, its affiliates, officers, employees, agents, partners, or licensors be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation lost profits, lost data, business interruption, travel costs, missed opportunities, reputational harm, or emotional distress, arising out of or relating to your use of (or inability to use) the Service - even if the Company has been advised of the possibility of such damages.

In addition, the Company shall not be liable for any amount with respect to services rendered, free or paid, beyond what is strictly required by mandatory consumer-protection law in your jurisdiction.

9. Paid Subscriptions ("Premium")

Tripence offers a paid upgrade (the "Premium" tier) which unlocks additional features such as advanced trip sharing, custom categories, data exports, and other capabilities that may be added or removed from time to time at the Company's sole discretion.

All Premium payments are processed exclusively through the applicable platform store - currently Google Play (Android), and Apple App Store (iOS) where offered - under that store's own terms. Prices may vary by country, currency, region, promotion, and over time. Where subscriptions are offered on an auto-renewing basis, they will automatically renew at the end of each billing period unless you cancel at least 24 hours before the current period ends, as required by the relevant store. You manage and cancel subscriptions through your store account, not within Tripence.

We do not collect, process, or store raw financial information such as credit-card numbers or bank details. We only retain anonymized purchase tokens and order IDs provided by the store, used solely to verify entitlement and sync Premium status across your devices.

Refunds, credits, upgrades, downgrades, and grace periods are offered or refused at the Company's sole discretion and in accordance with the policies of the underlying store. The Company makes no guarantee that any Premium feature will remain available, unchanged, or supported indefinitely.

Promotional codes and Founding Member access. The Company may issue promotional codes that grant Premium access without a store purchase. Unless expressly stated otherwise, each code is single-use, non-transferable, has no cash value, and may expire or be revoked at any time. Where a code grants "Founding Member access," that term means access to the applicable Premium features for as long as the Company continues to offer the App and those features — not for the lifetime of any user. Founding Member access confers no payment, auto-renewal, store subscription, refund, cash value, or vested or perpetual right, and the Company does not guarantee that it will be perpetual, uninterrupted, or available indefinitely. The Company may modify, suspend, or discontinue Founding Member access (and the App or any Premium feature) at any time, and may withdraw a grant if the code is found to be obtained or used in breach of these Terms. Code validation is performed by our promotions platform (see the Privacy Policy, Section 7.5).

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) brought by any third party arising out of or relating to: (a) your breach of these Terms or any policy referenced herein; (b) your misuse of the Service; or (c) any content, data, image, or material you submit, upload, share, or transmit through the App ("User Generated Content"), including any claim that such content infringes any intellectual-property, personality, privacy, or other right of a third party. This indemnity does not apply where the infringement is demonstrably inadvertent and was not caused or aggravated by your conduct.

11. Modifications to the Agreement

The Company may modify these Terms at any time, in its sole discretion, by posting a revised version within the App or on the Tripence website. The revised Terms take effect immediately upon posting, regardless of whether you have actually read them. Your continued use of the App following any such update constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court or authority, that provision shall be replaced by a valid and enforceable provision that most closely reflects the original intent of the parties. The remaining provisions of the Terms shall continue in full force and effect.

13. Exercise of Rights / No Waiver

The failure or delay of the Company to enforce any right or provision under these Terms shall not be construed as a waiver of that right or provision, or of any other right or provision. No waiver of any term by the Company shall be deemed a further or continuing waiver of that term or any other term, and shall be effective only if made in writing.

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of [governing law / country - to be set on launch], excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for any dispute arising out of or in connection with these Terms shall be the competent courts of [city, country - to be set on launch]. Arbitration proceedings are expressly excluded.

15. Entire Agreement

These Terms of Use, together with the Privacy Policy and any additional policies or notices referenced from within the App, constitute the entire agreement between you and the Company regarding your use of Tripence, and supersede any prior or contemporaneous understandings, communications, or agreements, whether oral or written.
